1. Acceptance of Terms
By accessing or using NodePlot ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.
2. Description of Service
NodePlot is a visual timeline builder application that allows users to create, organize, and manage projects with draggable nodes connected to dates. The Service includes features such as project creation, collaboration, data synchronization, and timeline visualization.
3. User Accounts
3.1 Account Creation
To use certain features of the Service, you must create an account by providing a valid email address and completing the authentication process. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Responsibility
You are responsible for all activities that occur under your account, including any content created, shared, or accessed through your account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and identification
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
3.3 Account Termination
You may terminate your account at any time by contacting us or using account deletion features within the Service. We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
4. User Content and Conduct
4.1 User Content
You retain ownership of all content you create, upload, or share through the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service.
NodePlot does not claim ownership of your content. We do not sell user data or share user content with third parties except as required to operate the Service (e.g., secure cloud storage providers). Your data is your data.
4.2 Content Restrictions
You agree not to use the Service to create, upload, or share any content that:
- Violates any applicable laws, regulations, or third-party rights
- Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
- Infringes on intellectual property rights, including copyrights, trademarks, or patents
- Contains viruses, malware, or other harmful code
- Is spam, unsolicited commercial content, or fraudulent
- Impersonates any person or entity or misrepresents your affiliation
4.3 Content Removal
We reserve the right to remove, edit, or disable access to any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or inappropriate. We are not obligated to monitor User Content but may do so at our discretion.
5. Collaboration and Sharing
The Service allows you to share projects with other users and collaborate on content. When you share a project:
- Sharing Permissions: You control who has access to your projects and what level of access they have (viewer or editor)
- Collaborator Responsibility: Collaborators with editor access can modify shared projects. You are responsible for managing sharing permissions and removing access when appropriate
- Shared Content: When you share a project, collaborators will have access to the project content and your email address (as the project owner or collaborator)
- Revocation: You can revoke access to shared projects at any time, though changes made by collaborators before revocation may remain
- No Spamming: You agree not to abuse the collaboration features by sending unsolicited invitations or spamming other users
6. Data Storage, Backups, and Loss
NodePlot uses industry-standard hosting providers to store your data securely. However, you acknowledge that no system is fully immune to failures, bugs, or data loss. You agree that:
- NodePlot is not liable for any loss, deletion, or corruption of data
- You are responsible for maintaining your own backups if your data is important to you
- We do not warrant the accuracy, completeness, or permanence of data stored in the Service
- Data may be lost due to technical failures, bugs, API changes, or other circumstances beyond our control
7. Billing and Paid Plans
NodePlot may offer free and paid subscription plans. If you subscribe to a paid plan:
- Automatic Renewal: Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date
- Payment Processing: All fees are processed through Stripe or other third-party payment processors. By subscribing, you agree to their terms and conditions
- Refunds: Unless required by law, all fees are non-refundable. We may, at our sole discretion, provide refunds or credits in exceptional circumstances
- Price Changes: We reserve the right to change subscription prices at any time. Price changes will be communicated to you in advance, and your continued use of a paid plan after the change constitutes acceptance of the new price
- Free Tier: We reserve the right to modify, limit, or discontinue free tier features at any time without notice
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access until that time
8. Intellectual Property
6.1 Service Ownership
The Service, including its original content, features, functionality, design, and software, is owned by NodePlot and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 User Content Ownership
As stated in Section 4.1, you retain ownership of your User Content. You are solely responsible for ensuring that you have all necessary rights and permissions to create, upload, and share your User Content through the Service.
6.3 License to Use Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to your compliance with these Terms.
9. Prohibited Uses
You agree not to use the Service:
- In any way that violates any applicable law or regulation
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
- To impersonate or attempt to impersonate us, our employees, another user, or any other person or entity
- In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
- To use any robot, spider, scraper, or other automatic device, process, or means to access, scrape, or collect data from the Service
- To create automated accounts or use automated means to create multiple accounts
- To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
- To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
- To use the Service in a manner that negatively affects the stability, security, or performance of the Service for other users
We reserve the right to limit, throttle, or restrict access to the Service if your usage negatively affects the stability, security, or performance of the Service or violates these Terms.
10. Service Availability and Modifications
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be free from errors, interruptions, or security vulnerabilities. We are not liable for any loss or damage resulting from your inability to access or use the Service.
10.1 Beta and Experimental Features
Certain features of the Service may be released as beta or experimental. These features may be incomplete, unstable, or subject to change. Beta features may change, break, or be removed at any time without notice. You acknowledge that beta features may not function as intended and use them at your own risk.
11. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. Please review our Privacy Policy at /privacy.
12. Not for Critical Use
The Service is not intended for storing mission-critical, legal, medical, financial, or emergency-related information. You agree not to rely on NodePlot as a sole repository for such data. NodePlot is designed for planning, visualization, and collaboration purposes and should not be used for data that requires guaranteed availability, accuracy, or permanence.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT:
- The Service will meet your requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any errors or defects in the Service will be corrected
- Data stored in the Service will be accurate, complete, or permanently available
- The Service will be free from bugs, data corruption, or loss
We do not warrant the accuracy, completeness, or permanence of any data stored in the Service. Data may be lost, corrupted, or become inaccessible due to technical failures, bugs, API changes, or other circumstances beyond our control.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NODEPLOT, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NODEPLOT ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE; ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY; OR ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE.
15. Indemnification
You agree to defend, indemnify, and hold harmless NodePlot and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another.
16. Compliance and Export Restrictions
You agree to comply with all applicable laws and regulations when using the Service. The Service may be subject to export control laws and regulations. You agree not to export, re-export, or transfer the Service or any related technology in violation of any applicable export control laws or regulations.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NodePlot operates, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration or in the courts of the appropriate jurisdiction, as applicable.
18. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by:
- Posting the updated Terms on this page with a new "Last updated" date
- Sending an email notification to registered users for significant changes
- Displaying a notice within the Service for substantial updates
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
